Terms of Service

These Terms of Service (“Terms”) govern your use of Virtual Video Director (“VVD,” “the Software”) developed and published by Noise Productions Ltd, a company registered in New Zealand with its principal office in Masterton, New Zealand (“we,” “us,” “our”). By downloading, installing, or using VVD, you agree to be bound by these Terms.
1. Software Licence
We grant you a non-exclusive, non-transferable licence to install and use VVD in accordance with the licence tier you have purchased or activated.
- Perpetual Licences: A one-time purchase that grants you the right to use the version of VVD current at the time of purchase indefinitely. Perpetual licences include 12 months of updates from the date of purchase. After 12 months, you may continue using the installed version but will not receive further updates unless you purchase an update extension.
- Subscription Licences: A recurring licence that grants access to VVD and all updates for the duration of the subscription period. If the subscription lapses, the software will revert to trial mode.
You may not sublicence, resell, redistribute, reverse-engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law.
2. Trial Terms
VVD offers a free trial that allows you to evaluate the full functionality of the Software. Trial sessions are limited to 60 minutes each. You may start unlimited trial sessions during the 30-day trial period. After the trial period expires, a valid licence key is required to continue using VVD.
The trial is provided “as is” for evaluation purposes. We reserve the right to modify trial terms at any time.
3. Payments and Refunds
All purchases are processed by FastSpring (Bright Market LLC), our authorised payment processor and merchant of record. FastSpring handles all payment processing, tax collection, and receipt issuance.
We offer a 30-day refund policy from the date of purchase. If you are not satisfied with VVD, contact us at hello@vvd.nz within 30 days for a full refund. After 30 days, refunds are provided at our discretion.
Subscription cancellations take effect at the end of the current billing period. No partial refunds are provided for the remaining days in a billing cycle.
4. Intellectual Property
VVD and all associated intellectual property are owned by Noise Productions Ltd. This includes, without limitation:
- The Mills Level Sensor — a proprietary ballistic audio analysis algorithm.
- The Mills Smart Sensor — a proprietary AI-powered voice activity detection pipeline.
- Super Triggers - AI powered triggers you describe in plain English.
- The VVD name, logo, and brand assets.
- All software code, documentation, and user interface designs.
You retain ownership of any content, configurations, and show files you create using VVD.
5. Data Collection
VVD may collect and transmit the following data:
- Diagnostics: Crash reports and diagnostic data may be submitted voluntarily to help us improve the Software. Diagnostic submissions include system configuration, error logs, and usage context.
- AI Assistant: When you use VVD’s built-in AI assistant (Super Triggers, help chat), your queries and relevant context are sent to our AI service provider for processing. No audio data is transmitted.
- Licensing: VVD communicates with our licensing server to validate licence keys, check activation status, and verify entitlements. This includes your licence key, machine identifier, and software version.

6. Third-Party Services
- FastSpring: Payment processing and licence fulfilment. Subject to FastSpring’s terms.
- Silero VAD: The Mills Smart Sensor includes the Silero VAD v5 model (MIT licence) for on-device voice activity detection. No data is sent to Silero; all inference runs locally.
VVD integrates with numerous third-party video switchers, cameras, and broadcast systems. We are not responsible for the operation, availability, or terms of those third-party products.
7. Limitation of Liability
To the maximum extent permitted by law, Noise Productions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or production time, arising from your use of or inability to use the Software.
Our total liability for any claim arising from these Terms or your use of VVD shall not exceed the amount you paid for the Software in the 12 months preceding the claim.
VVD is designed to assist with live production switching but is not a substitute for human oversight. We do not guarantee uninterrupted or error-free operation. You are responsible for maintaining appropriate backup and manual override procedures for your productions.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Termination
We may terminate or suspend your licence if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections relating to intellectual property, limitation of liability, and governing law survive termination.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via our website or in-app notifications. Your continued use of VVD after changes are posted constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
